Added new subclause 20.4 requiring the Contractor to comply with the ICAC Act.
Clause 30Clause 30- Respectful Behaviour

Updated clause to align with shift towards gender-based violence (previous clause addressed violence against women) and zero tolerance towards all forms of unacceptable behaviours.
Clause 54Clause 54.1 - Requirements of Subcontractors

Added new Subclause 54.1.4 to require the Contractor to ensure all Subcontracts include provisions equivalent to clauses 130 (Modern Slavery), 131 (Fraud Control) and 132 (Anti-Corruption).
Clause 54Clause 54.2 – The Contractor must:

Added new Subclause 54.2.(h) for Subcontracts to include alignment of new undertaking provisions of 3%.
Clause 55Clause 55 – Engaging Subcontractors

Clause 55.10 amended to adjust the format with subclauses:

Subclause 55.10(a) added “details of” at the beginning of the sentence

Subclause 55.10(b) added as a new paragraph requiring the Contractor to provide a statement in relation to their subcontract procurement processes.

Clause 62.5.2 updated to adjust the return of the Part B Completion Undertaking requirements.
Clause 99Clause 99 – Provisional Sums and Provisional Quantities

Amended Subclause 99.3.1 – Consultant changed to “Contractor’s Consultant”
Clause 106Clause 106 Audit

The Clause has been updated to expand the Principal’s audit rights.
Clause 128Clause 128 Meaning of Words and Phrases

New definitions added for “Arrangement”, “Declared Organisation”, “ICAC Act”, “Irrelevant Factor”.

“Contractor’s Default” amended to add failure to comply with new clauses in relation to Modern Slavery, fraud control and corruption.

New Clause added in relation to modern slavery.
Clause 131Clause 131 Fraud Control

New Clause added requiring the Contractor to prevent, detect, investigate and mitigate fraudulent activities.
Clause 132Clause 132 Anti-Corruption
New Clause added in relation to anti-corruption which requires:
 
* the Contractor to provide to the Principal a report confirming compliance with all statutory requirements regarding the offering of unlawful inducements; and

* that the selection or engagement of subcontractors, consultants and suppliers by the Contractor are not influenced by an Irrelevant Factor.
